MERRILLVILLE, Ind., Dec. 5, 2018 – — NiSource Inc. (NYSE: NI) today announced that it has completed its previously announced underwritten public offering of 20,000,000 depositary shares (the “Depositary Shares“), each representing a 1/1000th ownership interest in a share of NiSource’s 6.50% Series B Fixed-Rate Reset Cumulative Redeemable Perpetual Preferred Stock (the “Series B Preferred Stock“), liquidation preference $25,000 per share (equivalent to $25 per Depositary Share). The Series B Preferred Stock is a new series of preferred stock that ranks on a parity with the 400,000 shares of NiSource’s 5.650% Series A Fixed-Rate Reset Cumulative Redeemable Perpetual Preferred Stock issued in June 2018. The Depositary Shares have the same preferences, limitations, and relative rights as the Series B Preferred Stock and are expected to be listed on the New York Stock Exchange.
NiSource intends to use the net proceeds from the sale to finance capital expenditures and for general corporate purposes.
