NOVI, Mich., May 11, 2020 – — ITC Holdings Corp. (“ITC”), a subsidiary of Fortis Inc., today announced that it has priced a previously announced private offering of $700 million aggregate principal amount of its 2.95% senior unsecured notes due 2030 (the “notes”). The offering is expected to close on May 14, 2020, subject to the satisfaction of customary closing conditions.
ITC intends to use the net proceeds from this offering to repay indebtedness under ITC’s term loan credit agreement, revolving credit facility and commercial paper program, and for general corporate purposes.
The notes are being offered in the United States only to persons reasonably believed to be qualified institutional buyers in accordance with Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and to certain non-U.S. persons in transactions outside the United States in reliance on Regulation S under the Securities Act.
