PITTSBURGH, Feb. 20, 2020 – — F.N.B. Corporation (NYSE: FNB) today announced the pricing of its previously announced offering of $300 million aggregate principal amount of its 2.20% fixed rate senior notes due 2023 (the “Notes”). The Notes will bear interest at 2.20% per annum, payable semi-annually in arrears on February 24 and August 24, of each year, commencing on August 24, 2020 and ending on the earlier of the optional redemption date (which is on or after the 30th day prior to the maturity of the Notes) or the maturity date. The Notes will mature on February 24, 2023. The offering is expected to close on February 24, 2020, subject to customary closing conditions.
The Company expects to use the net proceeds from the offering for general corporate purposes, which may include investments at the holding company level, capital to support the growth of First National Bank of Pennsylvania, repurchase of the Company’s common shares and refinancing of outstanding indebtedness.
