GRUPO BIMBO, S.A.B. DE C.V. ANNOUNCES THE TENDER RESULTS AND SETTLEMENT OF THE CASH TENDER OFFER FOR ANY AND ALL OF ITS 3.875% SENIOR NOTES DUE 2024

MEXICO CITY, Nov. 8, 2023 — Grupo Bimbo, S.A.B. de C.V. (“Grupo Bimbo,” the “Company” or “we”) announced today the final results and settlement of the previously-announced tender offer by the Company to purchase for cash (the “Offer”) from each registered holder (each, a “Holder” and, collectively, the “Holders”) any and all of its outstanding 3.875% Senior Notes due 2024 (CUSIP Nos. 40052V AC8 / P4949B AJ3; ISIN Nos. US40052VAC81 / USP4949BAJ37) (the “Notes”), upon the terms and subject to the conditions set forth in the offer to purchase dated October 30, 2023 (the “Offer to Purchase”).

The Offer expired at 5:00 p.m., New York City time, on November 3, 2023 and settled on November 8, 2023 (the “Settlement Date”).

All conditions described in the Offer to Purchase that were to be satisfied or waived were satisfied on or prior to the Settlement Date.

The table below sets forth the aggregate principal amount of the Notes validly tendered, and not validly withdrawn, in the Tender Offer, and the aggregate consideration paid for the Notes accepted for purchase in the Tender Offer.

Holders who validly tendered (and not validly withdrew) their Notes, or that delivered a properly completed and duly executed Notice of Guaranteed Delivery at or prior to the Expiration Date, were eligible to receive US$990.23 per US$1,000 of principal amount of Notes tendered (the “Tender Consideration”), on the Settlement Date.  In addition, Holders whose Notes were accepted for purchase in the Offer received accrued and unpaid interest from, and including, the last interest payment date to, but not including, the Settlement Date, including those Notes tendered by the Guaranteed Delivery Procedures set forth in the Offer to Purchase. For the avoidance of doubt, Notes accepted in the Offer ceased to accrue interest on the Settlement Date, including those tendered by the guaranteed delivery procedures set forth in the Offer to Purchase.
